Lahore: Shezan International Limited has released the agenda for its 63rd Annual General Meeting (AGM), scheduled for October 27, 2026. The meeting will be held at the company's registered office on Bund Road as well as virtually via Zoom, highlighting a blend of physical and digital participation for stakeholders.
The AGM will focus on several key items of business. Under ordinary business, the company plans to confirm the minutes from its Extraordinary General Meeting held on June 22, 2026, and will present the audited financial statements for the year ending June 30, 2026. These statements will be accompanied by the Chairman's Review, Directors' Report, and Independent Auditors' Report. Shareholders will also consider a proposed cash dividend of Rs. 13.50 per share, equivalent to 135%, as recommended by the board.
The appointment of external auditors for the fiscal year 2026-27 and the approval of their remuneration is also on the agenda.
In terms of special business, the meeting will seek to ratify and approve transactions with related parties as disclosed in the financial statements for the year ending June 30, 2026. Additionally, the board aims to authorize potential related-party transactions for fiscal year 2026-27, granting the board discretionary power to approve these transactions as needed.
A significant proposal for investment by way of a loan to Shahtaj Sugar Mills Limited (SSML), an associated company, will also be considered. The proposal involves a loan of up to PKR 500 million, intended for SSML’s business and working capital requirements. This investment is subject to compliance with Section 199 of the Companies Act, 2017, and will require the execution of a written agreement outlining the terms of the facility.
