Cordoba Logistics & Ventures to Discuss Major Financial Restructuring at Upcoming AGM

Lahore: Cordoba Logistics & Ventures Limited has announced the schedule for its 40th Annual General Meeting (AGM), set to occur on October 28, 2026, at 11:00 am. The meeting will be held at the Auditorium of Pakistan Stock Exchange Limited (PSX) Regional Office in Lahore, with provisions for participation through a video link.

The AGM will address several significant agenda items, beginning with the confirmation of minutes from the previous AGM held on October 28, 2025. Shareholders will receive and consider the Directors' and Auditors' Reports alongside the audited financial statements for the fiscal year ending June 30, 2026. The appointment and remuneration of the company's auditors for the upcoming year will also be on the table, with M/s Parker Russell-A.J.S. Chartered Accountants proposed for re-appointment.

A substantial focus of the meeting will be on the special business regarding the restructuring of an outstanding sponsor's loan with accrued mark-up. The company seeks to ratify a restructuring agreement effective from June 30, 2026. This arrangement allows for repayment either through monetary means or conversion into equity, as deemed appropriate by the company. Notably, no additional interest or mark-up will accrue on the restructured loan post-June 30, 2026.

According to information available from the Pakistan Stock Exchange (PSX), another pivotal agenda item involves a proposed increase in the investment limit for the company's subsidiary, Cordoba Financial Services Limited (CFSL), formerly known as Cordoba Leasing Limited. The proposal seeks shareholder approval to double the investment cap from PKR 1.00 billion to PKR 2.00 billion. This expansion includes potential loans or advances to CFSL and furnishing corporate guarantees for its financial obligations.

The meeting will conclude by addressing any other business that may arise with the Chair's permission. The designated market category for Cordoba Logistics & Ventures Limited is the logistics and ventures sector, with a particular emphasis on financial services through its subsidiary, CFSL.
