Lahore: An order has been issued against MIS. Aftab Soap Factory (Pvt.) Limited and its directors, including the chief executive, following their failure to file the company's audited financial statements for the year ended 2023 with the Registrar, as mandated by Section 233 of the Companies Act, 2017. The proceedings were initiated through a Show Cause Notice (SCN) dated February 07, 2024, and the final order was announced on April 25, 2024.
The company had contravened the provisions of the Companies Act, 2017, by failing to submit the required documents within the stipulated timeline. According to the Act, such a failure renders the company liable to a penalty on the standard scale. The SCN provided multiple opportunities for the company and its representatives to appear for hearings on February 16 and March 05, 2024, but they failed to attend.
The seriousness of the breach, as noted during the adjudication process, highlighted systemic weaknesses in the company's management systems and internal controls. The adjudication officer, delegated with powers through a Commission's Notification on December 06, 2019, decided to impose a lump sum penalty of Rs. 10,000 on the company.
According to information available from the Pakistan Stock Exchange (PSX), the non-compliance has raised concerns about the company's transparency and the reliability of its financial disclosures. The Commission emphasized the necessity for companies to adhere to relevant laws to ensure accurate and timely preparation and circulation of financial statements.
The penalty must be deposited in the designated bank account maintained with MCB Bank Limited within 30 days of the order receipt. The chief executive is required to furnish deposit evidence to the Commission, failing which recovery proceedings will be initiated against the company.
