Bela Automotives Faces Financial Challenges Amid Legal Disputes and Acquisition Talks

Karachi: Bela Automotives Limited's recent financial disclosures for the first quarter ending September 30, 2026, revealed a tumultuous period marred by legal disputes and financial hurdles. The company reported no sales during this period, a stark indication of its current challenges.

In a statement dated November 5, 2026, the Board of Directors highlighted the impact of an allegedly illegal order by the Income Tax Authorities that froze the company's accounts and instructed customers to halt payments. This order, based on entries from 14 years prior, was executed without a hearing, resulting in significant operational disruptions and layoffs at Bela Automotives. The company took nearly a year to resolve the situation and resume operations, though the financial and reputational damage persists.

The company's board assessed its performance as satisfactory despite these obstacles. Ongoing litigation in the High Court of Sindh, Karachi, and adverse credit reporting have hindered the company's efforts to secure working capital, thus stalling its operational capacity.

A significant contention with Habib Bank Limited (HBL) also looms over Bela Automotives. The company is embroiled in a long-standing legal battle against HBL, alleging unlawful interest charges and financial practices spanning several years. The dispute, involving claims of Rs 599.214 million, has been partially resolved with the bank issuing a no-objection certificate for the release of certain charges. This resolution process is currently underway with relevant authorities.

In a notable development, Bela Automotives received a public announcement from Mr. Amir Noman expressing his firm intention to acquire 2,901,100 ordinary shares, representing 50.02% of the company’s voting shares. This acquisition, governed by the Securities Act, 2015, and relevant regulations, is in its final stages.

According to information available from the Pakistan Stock Exchange (PSX), these events mark a significant period of transition for Bela Automotives. The company's market category remains designated under the automotive sector, reflecting its operational focus despite the current challenges.
