Karachi: BRR Guardian Limited has scheduled its 3rd Annual General Meeting (AGM) for November 27, 2025, at its headquarters on Hassan Ali Street, Karachi, to discuss a comprehensive agenda that includes both ordinary and special business items. The meeting will address various critical issues such as the confirmation of minutes from the previous meeting, the adoption of audited financial statements, and the election of directors.
The AGM will commence at 5:30 PM and will consider the approval of the financial statements for the year ending June 30, 2025. These statements include a reported net profit of 648.64 million rupees, up from 448.47 million rupees the previous year. The company has announced a final cash dividend of Re. 0.5 per share, translating to a 5% payout.
According to information available from the Pakistan Stock Exchange (PSX), BRR Guardian Limited will seek approval for several special resolutions. These include amendments to the Memorandum of Association to align with Shariah compliance and the introduction of an Employees Stock Option Scheme (ESOS), which proposes the allocation of up to 9,500,849 shares valued at Rs. 10 each to employees, representing 10% of the company's paid-up capital.
The company's financial position as of June 30, 2025, reflects total assets of 5.13 billion rupees, with a significant increase in short-term investments totaling 3.95 billion rupees. The equity of the company stands at 4.42 billion rupees, showcasing a robust capital reserve growth to 2.29 billion rupees.
Among the significant agenda items, the election of seven directors, including Ms. Hamida Dawood and Mr. Ayaz Dawood, who are eligible for re-election, will take place. The meeting will also consider the re-appointment of M/s. Crowe Hussain Chaudhry & Co as auditors for the fiscal year ending June 30, 2026.
The special business segment of the meeting includes proposed amendments to the Articles of Association to facilitate the ESOS scheme, aimed at motivating and retaining employees by offering equity options.
Shareholders have been notified of the closure of share transfer books from November 21 to November 27, 2025, and are encouraged to participate via video conference, with the option to vote through postal ballot or e-voting, in compliance with the Companies (Postal Ballot) Regulations, 2018.
