BRR Guardian Limited Announces Fourth Annual General Meeting and Investment Plans

Karachi: BRR Guardian Limited has announced the details of its fourth Annual General Meeting (AGM), set to take place on October 28, 2026, at 5:30 PM. The meeting will be held at the Ground Floor of BRR Tower, Hassan Ali Street, off I.I. Chundrigar Road, Karachi. The agenda for the AGM covers both ordinary and special business matters, including financial statement approvals and proposed investments.

The agenda for the ordinary business includes the confirmation of the minutes from the last general meeting and the adoption of the audited financial statements for the year ending June 30, 2026. The company's directors' and auditors' reports will also be considered during the session. BRR Guardian Limited has circulated the annual reports via email to its shareholders, with a provision for requesting hard copies as per Section 223(6) of the Companies Act, 2017.

In the realm of special business, the company will consider an equity investment in the Right Shares of Dawood Family Takaful Limited, an associated company. The investment is projected at up to Rs. 39.10 million, with a potential additional subscription of Rs. 250 million for any unsubscribed shares. This proposal, subject to regulatory approvals, will be presented as a Special Resolution under Section 199 of the Companies Act, 2017.

Moreover, BRR Guardian Limited plans another equity investment in the Right Shares of BRR Financial Services (Private) Limited, also an associated company. The proposed investment amounts to Rs. 13.20 million, with an additional Rs. 88 million for any unsubscribed shares, if offered. This resolution will also require compliance with applicable laws and regulatory permissions.

According to information available from the Pakistan Stock Exchange (PSX), these resolutions reflect BRR Guardian Limited's strategic approach to expand its investment portfolio in associated companies.
