Karachi: Fatima Fertilizer Company Limited announced significant developments regarding the forthcoming election of its board of directors. According to a report dated September 18, 2026, the company disclosed changes subsequent to the publication of the election notice under Section 159(4) of the Companies Act, 2017.
The company reported that two candidates, Mr. Tariq Jamali and Mr. Sarfaraz Inayatullah Qureshi, both independent directors, have withdrawn their respective notices of intention to contest for the directorship. This action was taken in accordance with Section 159(3) of the Act.
Following these withdrawals, the number of candidates now matches the predetermined number of directors set by the board, which is seven. Consequently, as per Section 159(5) of the Act, the seven remaining candidates are deemed elected without the need for a contested election. These candidates will assume their roles at the upcoming Extraordinary General Meeting scheduled for September 22, 2026, and will serve a three-year term.
The candidates who will join the board include Mr. Arif Habib, Mr. Fawad Ahmed Mukhtar, Mr. Fazal Ahmed Sheikh, Mr. Faisal Ahmed Mukhtar, Mr. Muhammad Kashif Habib, Ms. Sima Kamil, an independent director, and Mrs. Julie Jannerup, also an independent director.
According to information available from the Pakistan Stock Exchange (PSX), the market has acknowledged the company's actions, aligning with its governance structure.
The company has requested that the TRE Certificate Holders of the Exchange be informed of these developments accordingly.
