Flying Cement Company Limited to Hold Election for Board of Directors at Extraordinary General Meeting

Lahore: Flying Cement Company Limited has announced that it will hold an Extraordinary General Meeting on April 30, 2025, at 10:00 a.m. at Leads Banquet Hall, Nespak Society, Lahore. The agenda of the meeting is to elect seven directors for a three-year term, as determined by the Board of Directors under Section 159 of the Companies Act, 2017.

The current directors eligible for re-election include Mr. Kamran Khan, Mr. Momin Qamar, Mr. Yousaf Kamran Khan, Mrs. Samina Kamran, Mr. Qasim Khan, Mr. Omar Naeem, and Mr. Pervaiz Ahmad Khan. The election will categorize the director positions into one female director, two independent directors, and four other directors, as per Regulation 7A of the Listed Companies (Code of Corporate Governance) Regulations, 2019.

The company's share transfer books will be closed from April 21, 2025, to April 30, 2025. Transfers must be completed by April 18, 2025, for shareholders to be eligible to attend and vote. Proxies must be submitted 48 hours before the meeting. The members can appoint proxies who must also comply with specific identification requirements.

Candidates intending to stand for election must submit their candidacy documents at least 14 days before the meeting. Candidates for independent director positions must meet criteria outlined in the Companies Act, 2017, and related regulations.
