Karachi: Gatron (Industries) Limited has announced a significant development regarding its corporate structure. On February 10, 2025, the Board of Directors resolved to authorize the company to enter into a Scheme of Arrangement with Nova Frontiers Limited (NFL) and Ghani and Tayub (Private) Limited (GandT). This decision is contingent upon receiving the necessary approvals from the Honorable High Court of Baluchistan at Quetta and the shareholders of the respective companies.
The proposed Scheme involves NFL cancelling shares held by various categories of shareholders, collectively referred to as the "Outgoing Shareholders." This cancellation will lead to a reduction in NFL's share capital. As compensation, the 29.33% shareholding of Gatron, which NFL currently holds, will be cancelled. In place of this, new shares of Gatron will be issued to the Outgoing Shareholders or the beneficial owners of these outgoing shares, based on a SWAP ratio determined by a professional valuer.
