Lahore: Gharibwal Cement Limited has announced plans for its 65th Annual General Meeting (AGM) to be held on Friday, October 24, 2025, at 11:00 am at the OBAN Hotel in Lahore. The meeting will address several key agenda items, including the confirmation of minutes from the previous AGM held on October 24, 2024, and the adoption of the company's audited financial statements for the fiscal year ending June 30, 2025.
The meeting will also involve the reappointment of Kreston Hyder Bhimji & Co, Chartered Accountants, as the company's external auditors for the year ending June 30, 2026. This reappointment comes on the recommendation of the company's Board of Directors and Audit Committee.
According to information available from the Pakistan Stock Exchange (PSX), the company's share transfer books will be closed from October 18, 2025, to October 24, 2025. Share transfers received by the close of business on October 17, 2025, will be eligible to attend and vote at the meeting.
In compliance with Section 72 of the Companies Act 2017, the company is urging shareholders to convert physical shares to book-entry form. Additionally, under Section 242 of the Companies Act, 2017, it is mandatory for listed companies to pay dividends electronically. Shareholders are requested to submit necessary banking information for this purpose.
Shareholders who have unclaimed dividends or pending shares are advised to contact the company's Share Registrar. Unclaimed dividends beyond a three-year period will be transferred to the Federal Government, and unclaimed shares will be delivered to the Securities and Exchange Commission of Pakistan (SECP).
The company is also offering a video conference facility for the AGM, contingent upon receiving consent from members holding at least 10% of shares in a specific city, at least 10 days prior to the meeting. An online attendance option is also available for interested members.
Members are reminded to submit a notarised copy of the Zakat Declaration Form "CZ-50" to claim exemption from compulsory Zakat deductions. The meeting will also cover transactions with related parties, including Balochistan Glass Limited, as previously approved by the members in past meetings.
