Hub Power Company Limited Announces Extraordinary General Meeting to Consider Major Investments

Karachi: The Hub Power Company Limited has announced plans to hold an Extraordinary General Meeting on August 7, 2025, to discuss significant investment ventures in Thar Energy Limited and ThalNova Power Thar (Private) Limited. This meeting, set to take place in Karachi, aims to secure shareholder approval for the issuance of guarantees and other financial commitments designed to support these projects.

The primary agenda items for this meeting include the proposal to authorize the issuance or modification of standby letters of credit, which will act as guarantees for investments in Thar Energy Limited (TEL) and ThalNova Power Thar (TN). These investments are intended to cover potential funding shortfalls in equity and subordinated debt. The proposed guarantee for TEL involves an amount up to USD 31 million, while for TN, the proposed guarantee is up to USD 20 million.

The Hub Power Company Limited's management seeks approval from its shareholders to extend or modify these financial instruments as required. These guarantees are expected to remain in place until at least January 2034 for TEL and July 2034 for TN, or until the completion of the respective project loans. The company’s executive team, including the Chief Executive Officer, the Chief Financial Officer, and the Company Secretary, have been designated with the authority to negotiate and finalize these financial arrangements with banks or financial institutions.

According to information available from the Pakistan Stock Exchange (PSX), the energy sector's developments have been classified under the designated market category. The proposed investments are a continuation of prior resolutions passed by the company in 2018 and 2019, reinforcing its commitment to these energy projects.

The resolutions also empower the company's leadership to take necessary actions, negotiate terms, and execute pertinent documents to facilitate these financial transactions. This includes the ability to amend, restate, or extend the standby letters of credit as deemed necessary.

In addition to these key agenda items, the meeting will also address any other business matters that may arise with the permission of the Chair. The outcome of this meeting is anticipated to have significant implications for the company's strategic initiatives in the energy sector.
