Karachi: Imperial Limited has announced that seven individuals will be deemed elected to its Board of Directors at the upcoming Extraordinary General Meeting (EOGM) scheduled for December 31, 2025. The meeting will take place at 11:00 a.m. at the company’s registered office, as stated in a notice issued under Section 159(4) of the Companies Act, 2017.
The notice, which is yet to be published in newspapers, was sent to the Exchange to inform TREC Holders accordingly. It coincides with an announcement from Imperial Limited detailing the candidates who have filed their intention to contest for the director positions. These candidates include Mr. Waqar Ibn Zahoor Bandey, Mr. Naveed M. Sheikh, Mr. Ibrahim Naveed Sheikh, Mr. Muhammad Tariq, Mr. Asad Ali, Mr. Shahzad Ullah Khan, and Mrs. Fakhra Chaudhry.
According to information available from the Pakistan Stock Exchange (PSX), since the number of contestants does not exceed the number of available positions as outlined by the Board under Section 159(1) of the Companies Act, 2017, the seven nominees will automatically assume their roles as directors for a three-year term.
The election process, as noted in the notification, follows the statutory requirements set by the Companies Act, 2017, ensuring that corporate governance practices align with regulatory expectations. The decision to declare the candidates automatically elected reflects a straightforward procedural compliance with the Act’s stipulations, given the absence of additional nominees.
