Lahore: Imperial Limited has officially applied to the Securities & Exchange Commission of Pakistan (SECP) for an extension to hold its Annual General Meeting (AGM) for the fiscal year that concluded on June 30, 2025. The request seeks an additional 30 days, moving the deadline to November 28, 2025.
The application, submitted on October 9, 2025, details the reasons behind the request for an extension. The company is currently in the midst of its annual audit, which has been delayed due to it being the inaugural audit engagement for a newly appointed team of auditors. The auditors have communicated the need for more time to gather necessary information and finalize the financial statements. Under Sections 132(1) and 223(2) of the Companies Act, 2017, Imperial Limited is seeking the Commission's approval for this extension.
According to information available from the Pakistan Stock Exchange (PSX), this procedural request highlights the challenges companies face during transitions to new auditing teams. The external auditors of Imperial Limited have indicated that the audit fieldwork is ongoing, and additional time is essential to ensure the accuracy and completeness of the financial statements.
Falraz Anwer, the Company Secretary of Imperial Limited, has submitted an affidavit affirming the truthfulness and completeness of the information provided in the application. He emphasized the necessity of the extension to finalize the audit and hold the AGM in compliance with regulatory standards.
The SECP's decision on this application will determine whether Imperial Limited can proceed with its AGM at the extended deadline of November 28, 2025.
