Lahore: Maple Leaf Cement Factory Limited (MLCF) has scheduled an Extraordinary General Meeting (EOGM) on October 19, 2026, at its office in Gulberg-III, Lahore. This meeting, mandated by an order from the Lahore High Court, will consider the proposed merger of Pioneer Cement Limited with MLCF.
According to information available from the Pakistan Stock Exchange (PSX), the shares transfer books of the company will be closed from October 13 to October 19, 2026. Transfers received by the company's Share Registrar, Vision Consulting Limited, by the close of business on October 12 will be eligible for attending and voting at the EOGM.
The agenda for the meeting includes a resolution to approve the merger, as outlined in the Scheme of Arrangement dated September 2, 2026. This plan has been endorsed by the Board of Directors of MLCF and will require approval from the shareholders during the EOGM. The scheme includes provisions as per sections 279 to 283 of the Companies Act, 2017, and related matters.
Members entitled to attend the meeting can obtain copies of the Scheme and the latest financial statements from the registered office at 42 Lawrence Road, Lahore. These documents are also available on the company's website. Proxies intending to vote must submit forms to the registered office at least 48 hours before the meeting.
The meeting will adhere to guidelines set by the Securities and Exchange Commission of Pakistan for shareholding authentication and proxy appointments. Individual shareholders must present their original CNIC or passport, while corporate entities need to produce a board resolution or power of attorney at the meeting.
