Meezan Bank Completes Share Allotment Under Employee Scheme

Karachi: Meezan Bank Limited has concluded the allotment of shares under its Employees Share Option Scheme (ESOS), marking the completion of several vesting periods. On May 31, 2025, the First Vesting Period of 2023, the Second Vesting Period of 2022, and the Third Vesting Period of 2021 reached their conclusion. Subsequently, on July 11, 2025, a total of 5.81 million ordinary shares were credited to the Central Depository Company (CDC) sub-accounts of eligible employees who exercised their options.

The distribution of shares under the ESOS was as follows: 1.63 million shares for the 2021 Tranche 3, 1.90 million shares for the 2022 Tranche 2, and 2.28 million shares for the 2023 Tranche 1. This allotment took place without a right offer, in accordance with Section 83A of the Companies Act, 2017.

According to information available from the Pakistan Stock Exchange (PSX), the approved scheme by the Securities & Exchange Commission of Pakistan (SECP) was initially sanctioned on April 21, 2021. With this recent allotment, the paid-up capital of Meezan Bank has increased to Rs. 18.01 billion, divided into 1.80 billion ordinary shares, each valued at Rs. 10.

An auditor's certificate, dated July 10, 2025, from M/s. A.F. Ferguson & Co., Chartered Accountants, confirms this increase in paid-up capital. The bank has requested the dissemination of this information to the TRE Certificate Holders of the Exchange.
