Nestlé Pakistan Approves Financial Statements and Final Dividend at Annual Meeting

Lahore: At its 47th Annual General Meeting held on April 22, 2025, Nestlé Pakistan Limited's shareholders approved a series of resolutions, including the confirmation of the previous year's meeting minutes, the company's audited financial statements, the appointment of auditors, and the declaration of a final cash dividend.

The shareholders officially confirmed and approved the minutes from the 46th Annual General Meeting, which took place on April 18, 2024. This procedural step ensures continuity and transparency in the company’s governance practices.

The meeting proceeded with the approval of the company's audited financial statements for the fiscal year ending December 31, 2024. The Annual Audited Accounts, along with the auditors' and directors' reports, the Statement of Compliance with Listed Companies (Code of Corporate Governance) Regulations, 2019, and the Auditor's Review Report on the Compliance Statement, were all sanctioned by the attending shareholders.

The shareholders also reappointed Messrs Ernst & Young Ford Rhodes (EY), Chartered Accountants, as the external auditors for 2025. This decision, recommended by the Board of Directors, includes agreed-upon payment terms and extends the auditors' tenure until the next Annual General Meeting.

In addition to these approvals, a final cash dividend was declared and approved. The Board of Directors recommended a dividend of 300%, translating to Rs. 30 per share for shares valued at Rs. 10 each. This is in addition to the 1360% interim cash dividend of Rs. 136 per share that had already been distributed to shareholders as of the close of business on April 15, 2025.
