Nishat Chunian Ltd. Announces Annual General Meeting to Approve Key Financial Decisions

Lahore: Nishat Chunian Limited has announced that its Annual General Meeting (AGM) will take place on October 23, 2026, at the company's registered office in Lahore. The meeting, scheduled to begin at 11:00 A.M., will address several critical agenda items, including the approval of financial statements and the reappointment of auditors.

The company's shareholders will first be asked to confirm the minutes of the previous AGM held on October 22, 2025, and an Extraordinary General Meeting that took place on June 29, 2026. Following this, the AGM will focus on the adoption of the Annual Audited Financial Statements for the fiscal year ending June 30, 2026. These documents, which include the Director's Report, Auditors' Report, and Chairman's Review Report, are available to shareholders via a QR code or dedicated weblink.

Significantly, the Board of Directors has recommended the reappointment of M/s Riaz Ahmad & Company, Chartered Accountants, as auditors for the 2026-27 financial year. This decision, based on the recommendation of the Board Audit Committee, will be put to a shareholder vote.

Another key highlight of the AGM agenda is the proposal to approve a final cash dividend at a rate of 30% or Rs. 3 per share. This is in addition to an interim dividend of 10% or Rs. 1 per share already distributed to shareholders, culminating in a total dividend of 40% or Rs. 4 per share for the year ending June 30, 2026.

In addition to these financial matters, shareholders will be asked to confirm and approve transactions conducted with related parties as detailed in the company's financial statements. A special resolution will be put forward for the ratification of these transactions, which have been disclosed in Note 39 of the unconsolidated financial statements.

Furthermore, the board seeks authorization to approve related-party transactions for the financial year ending June 30, 2027. This authorization would allow the board to approve such transactions on an individual basis, with the requirement that they be presented to shareholders for formal ratification at the subsequent AGM.

The meeting will also address any other business matters with the permission of the Chair.
