Octopus Digital Limited Seeks Extension for Annual General Meeting Due to Middle East Conflict

Lahore: Octopus Digital Limited has officially requested a 30-day extension for holding its Annual General Meeting (AGM) for the year ended December 31, 2025. This application, dated April 1, 2026, was submitted to the Securities & Exchange Commission of Pakistan (SECP) and is in accordance with Section 27 of the Companies (General Provisions and Forms) Regulations, 2018.

The company cited delays in the finalization of the group’s financial statements audit process, attributing these delays to the ongoing war situation in the Middle East. The conflict has been beyond the company’s control, thereby impacting its operational timeline. Octopus Digital Limited has requested that the SECP consider this situation and approve the extension under sections 132(1) and 223(2) of the Companies Act, 2017.

According to information available from the Pakistan Stock Exchange (PSX), Octopus Digital Limited held its previous AGM on April 30, 2025, where financial statements for the fiscal year ending December 31, 2024, were presented. The upcoming AGM was originally scheduled to be held by April 30, 2026, to review the financial statements for the year ending December 31, 2025.

The company has committed to submitting a copy of the SECP’s approval for the extension to the Exchange within 48 hours of receipt. Meanwhile, the company’s auditors have indicated that certain data and information are still pending and may not be concluded imminently. This situation has prompted management to preemptively seek the extension to ensure compliance and operational continuity.

The application for extension has been shared with the TRE Certificate Holders of the Exchange.
