Power Cement Chairman Sells All Preference Shares Amid Regulatory Compliance

Karachi: Power Cement Limited (PCL) has disclosed a significant transaction involving its Chairman, Mr. Muhammad Arif Habib, who has sold his entire holding of preference shares in the company. This disclosure was made in line with clause 5.6.4 of the Pakistan Stock Exchange (PSX) regulations.

According to the transaction details, Mr. Habib executed the sale of 16.70 million preference shares at a rate of Rs. 17.17 per share on June 30, 2025. This transaction was conducted through the Central Depository Company (CDC) under the Negotiated Deal Market (NDM) category. Following this transaction, Mr. Habib's holding in preference shares stands at zero. However, he continues to own 312.86 million ordinary shares, constituting 22.92% of the company's share capital.

The announcement clarified that the shareholding of the Arif Habib Group in Power Cement Limited remains unaffected by this transaction. As per the PSX regulations, the details of the transaction will be reviewed in the upcoming board meeting for further consideration and subsequently communicated to the PSX.

According to information available from the Pakistan Stock Exchange (PSX), this transaction by Mr. Habib represents a very large or significant move in his preference shareholding portfolio, as it reduces his preference shares to zero while maintaining a substantial stake in the ordinary shares of the company.

Power Cement Limited operates in the designated market category of building materials, which includes the production and distribution of cement and related products. This latest development comes as part of the company's adherence to regulatory requirements and transparency in corporate governance.
