Samba Bank Limited Seeks Delisting of Term Finance Certificates from Pakistan Stock Exchange

Karachi: Samba Bank Limited has formally requested the Pakistan Stock Exchange (PSX) to delist its Term Finance Certificates (TFCs), following the successful redemption and complete discharge of associated obligations. The bank's initiative to delist these securities aligns with the regulations stipulated by the exchange and other relevant regulatory authorities.

According to a report dated July 31, 2026, Samba Bank Limited had previously informed the Pakistan Stock Exchange Limited through a letter, reference ComSec/Stock-SECP/013/2026, about the exercise of the Call Option concerning the TFC issue. The bank has since completed the redemption process, ensuring that the principal amount and accrued markup were credited to the accounts of all TFC holders by March 3, 2026. As a result, there are no outstanding certificates under this issue.

The request for delisting comes after Samba Bank Limited's appeal to the Central Depository Company of Pakistan Limited (CDC) for the revocation of redeemed securities, as confirmed in a letter dated March 31, 2026. The bank has assured that all requirements under the PSX Rule Book have been met.

Further, Samba Bank Limited has requested the revocation of SBL TFC from the Central Depository System (CDS), citing compliance with CDC Regulation No. 5.5.A. The bank guarantees that all associated securities are free from liens, pledges, or encumbrances and are thus eligible for revocation.

According to information available from the Pakistan Stock Exchange (PSX), the bank's decision to withdraw the SBL TFC from the market is procedural, following the maturity of the security on March 2, 2026. The bank confirms that all financial commitments, including the outstanding principal and interest, have been settled in full.

Samba Bank Limited has also undertaken to indemnify the Central Depository Company of Pakistan Limited (CDCPL) against any potential claims or disputes arising from this delisting process, emphasizing their compliance with all outlined regulations and procedures.
