Karachi: United Distributors Pakistan Limited has announced that its 44th Annual General Meeting (AGM) will convene on October 26, 2026, at 4:00 p.m. at the ICMA Pakistan Building in Karachi, with an option for shareholders to join via video conferencing. This announcement follows the publication of the meeting notice in The Nation and Nawa-e-Waqt on October 5, 2026.
The company has outlined a series of agenda items for the AGM, which include confirming the minutes of the previous Extraordinary General Meeting held on July 14, 2026. Shareholders will also review and adopt the annual audited financial statements for the fiscal year ending June 30, 2026, along with the accompanying Chairman's Review and Directors' and Auditors' reports.
Additionally, the meeting will address the appointment and remuneration of auditors for the upcoming fiscal year. BDO Ebrahim & Co., Chartered Accountants, the current auditors, are retiring but have expressed their willingness to continue.
In a notable development, the Board of Directors has not proposed a final cash dividend for the year ending June 30, 2026. However, interim cash dividends of Rs. 19.50 per share, or 195%, were declared and paid during the year.
The AGM will also consider special business resolutions, including the ratification of transactions with related parties for the year ending June 30, 2026, and authorizing the Chief Executive to approve related party transactions for the ensuing year ending June 30, 2027.
The company's share transfer books will be closed from October 20, 2026, to October 26, 2026, inclusive. Transfers processed by the close of business on October 19, 2026, will be eligible for the meeting.
