Karachi: In a significant development for ZIL Limited, New Future International General Trading L.L.C (“NFCI”), which holds 84.84% of the company’s shares, has decided to transfer its entire shareholding to TWF HOLDING L.L.C-FZ. Both entities are incorporated under the laws of the United Arab Emirates and are owned by the same legal and beneficial owner, Mr. Salomon Jacobus Van Rooijen. This transfer falls under the exemption outlined in Section 109(1)(h)(iii) of the Securities Act 2015.
The board of directors of ZIL Limited convened on February 14, 2025, to discuss and approve the Share Transfer Agreement submitted by NFCI. The approval is contingent upon obtaining consent from financial institutions and fulfilling the terms and conditions specified in the agreement. This decision aligns with the regulatory requirements of Rule 5.6.1 of the Rule Book of Pakistan Stock Exchange Limited and Sections 96 and 131 of the Securities Act 2015.
