Adam Jee Plastic Industries Receives Warning Over Financial Statement Filing Delay

Lahore: In a recent development, the Securities and Exchange Commission of Pakistan (SECP) has issued a final order in the case of M/S Adam Jee Plastic Industries (Private) Limited regarding the delayed submission of their audited financial statements for the year 2023. The proceedings, initiated through a Show Cause Notice (SCN), were conducted under Sections 233 and 479 of the Companies Act, 2017, as the company failed to meet the statutory deadline for filing with the Registrar.

The issue began when the company did not submit its audited financial statements within the stipulated timeline, contravening the provisions of Section 233 of the Act. Consequently, the SECP issued an SCN on February 07, 2024, to the company and its directors, demanding an explanation for the delay. Despite multiple opportunities for a hearing, representatives of the company failed to appear until a final hearing on March 01, 2024, where Mr. Asif Naveed, an authorized representative, participated via Zoom from Faisalabad.

During the hearing, Mr. Naveed attributed the delay to the restructuring of the finance and accounts department, which resulted in the oversight. He assured the Commission that the financial statements had since been filed with the Registrar, as confirmed by the Registrar of the Company Registration Office in Faisalabad.

According to information available from the Pakistan Stock Exchange (PSX), the company had faced potential penalties under the Act. However, due to the compliance achieved during the adjudication proceedings, the SECP has decided not to impose a financial penalty. Instead, the company has been issued a warning to ensure strict adherence to legal obligations in the future.

The SECP underscored the importance of timely and accurate financial reporting, emphasizing that financial statements provide crucial insights into a company's financial health and management efficiency. They reiterated that company directors must exercise due diligence in making business decisions that comply with all regulatory requirements.
