Karachi: In a recent communication, Imperial Limited addressed the Pakistan Stock Exchange's (PSX) concerns over unusual trading volume in the company's shares. The report, dated July 30, 2026, responds to a letter from the PSX, reference No. PSX/Gen-851, which was received on July 29, 2026.
Imperial Limited, in compliance with Section 97 of the Securities Act, 2015, and PSX Regulations, clarified that there is no undisclosed material information or corporate development that would necessitate public disclosure. The company attributes the unusual trading volume to what it describes as "precipitate and premature" regulatory actions taken by the PSX, which referred Imperial's case to the Securities and Exchange Commission of Pakistan (SECP) for winding-up proceedings.
According to information available from the Pakistan Stock Exchange (PSX), the fluctuations in trading volume have caused market panic. Imperial Limited claims these actions have exacerbated volatility and are unwarranted given the company’s ongoing compliance efforts. The company has been engaged in litigation with the Central Depository Company (CDC) over disputed fees, which has delayed its compliance timeline.
Imperial Limited argues that such regulatory actions could be deemed malafide under established jurisprudence, referencing landmark cases such as Justice Qazi Faez Isa v. The President of Pakistan (PLD 2021 SC 1). The company underscores its commitment to resolving outstanding issues with the CDC and regularizing its corporate framework.
The company asserts that any financial damages or capital erosion experienced by the public or investors as a result of these regulatory actions should be the sole responsibility of the PSX. It emphasizes the need for regulators to act with objectivity and fairness, as mandated by the apex courts of Pakistan.
Imperial Limited has settled its dues with the CDC and is actively fulfilling remaining compliance formalities. Management is working to restore the company's corporate standing. However, the company warns that until the regulatory proceedings are resolved, share price and volume movements may continue to be affected by market perceptions driven by regulatory actions.
The company reserves its legal and constitutional rights to safeguard its reputation and financial interests against what it considers premature and coercive actions by the PSX.
