NETSOL Technologies Announces Share Buyback Plan Amid Market Conditions

Lahore: The Board of Directors of NETSOL Technologies Limited has announced its intention to proceed with a buyback of up to 4 million ordinary shares, according to a report dated October 30, 2026. This move, recommended to shareholders for approval through a special resolution, constitutes approximately 4.45% of the company's current issued and paid-up capital.

The decision, in compliance with Section 88 of the Companies Act, 2017 and the Listed Companies (Buy-Back of Shares) Regulations, 2019, aims to convert the repurchased shares into treasury shares. The purchase period is set from December 11, 2026, to June 1, 2027, or until completion, whichever comes first. The shares will be acquired at spot prices deemed acceptable by the company, reflecting the prevailing market conditions during this timeframe.

According to information available from the Pakistan Stock Exchange (PSX), the buyback is expected to enhance the company's financial position by increasing the break-up value and earnings per share. This strategic move also provides an exit opportunity for shareholders wishing to liquidate their investments, addressing those unable to do so in previous buyback rounds.

The buyback will be financed through the company's distributable profits, ensuring that adequate funds are available for the transaction. The Board of Directors has scheduled an Extra-Ordinary General Meeting (EOGM) on December 3, 2026, in Lahore to seek shareholder approval for the proposal.

The company's share transfer books will be closed from November 27 to December 3, 2026, inclusive of both dates. Transfers received by the company's Share Registrar by the close of business on November 26, 2026, will be considered eligible for participation and voting at the EOGM.
