Macter International Limited: Executive Director Transfers Shares to Spouse

Karachi: In a recent disclosure to the Pakistan Stock Exchange (PSX), Macter International Limited announced a transfer of shares between its executive director and his spouse, a move that reflects internal family transactions within the company's shareholding structure.

On July 31, 2025, Swaleh Misbah Khan, the Executive Director of Macter International Limited, executed a transaction involving the transfer of 378,248 shares as a gift. According to the details provided, these shares were moved through the Central Depository Company (CDC), a standard practice for such transactions. This transaction led to a cumulative holding of 14.77 million shares for Mr. Khan, which represents a 32.25% stake in the company.

The recipient of the shares, Naureen Swaleh, the spouse of Swaleh Misbah Khan, also executed a transaction on the same day. She received the 378,248 shares as a gift, increasing her cumulative shareholding to 378,248 shares, constituting 0.83% of the company's total shares. The transaction was also facilitated through the CDC.

According to information available from the Pakistan Stock Exchange (PSX), the nature of both transactions was classified as 'GIFT OUT' and 'GIFT IN', respectively, indicating a transfer within family members rather than a market-based exchange.

These transactions involving family members of the executive director are significant for stakeholders as they reflect changes in the distribution of shares controlled by the company's key personnel. The designated market category for this transaction falls under PSX Regulation 5.6.4, which necessitates the disclosure of interest by relevant persons holding the company’s shares.
