Karachi: Nagina Cotton Mills Limited has announced the convening of its 59th Annual General Meeting (AGM) on October 28, 2026. The meeting will be held at the company's registered office on Beaumont Road, with an option for virtual attendance. Members are set to deliberate on a range of ordinary and special business items during the session.
The agenda includes the confirmation of minutes from the Extraordinary General Meeting dated January 28, 2026. Members will also review and adopt the audited financial statements for the year ending June 30, 2026, accompanied by the Chairman's Review Report and reports from the Directors and Auditors.
A significant point of discussion will be the Board of Directors' recommendation for a final cash dividend of Rs. 6 per share, representing a 60% return for the fiscal year concluded on June 30, 2026. The appointment and remuneration of statutory auditors for the upcoming fiscal year ending June 30, 2027, will also be addressed.
In addition to ordinary business, the AGM will focus on special business matters. Key among these is the ratification and approval of transactions with related parties, as detailed in Note 39 of the financial statements. The Board of Directors seeks authorization to approve similar transactions in the upcoming financial year, with a resolution stating that these will be formally ratified at the following AGM.
