Saudi Pak Consultancy Company Limited to Convene Board Meeting for Strategic Decisions

Islamabad: Saudi Pak Consultancy Company Limited (SPCL) has announced that its 182nd Board of Directors meeting is set to take place on Thursday, August 7, 2025, at 11:30 a.m. via a Zoom conference from the company's camp office in Islamabad. The meeting will address several key agenda items, including the confirmation of previous meeting minutes and filling a casual vacancy on the board following the resignation of Sheikh Aftab Ahmed, effective June 20, 2025.

The board will also review and potentially approve the terms of reference for the HRR and Audit Committees. This follows a review of the minutes and resolutions passed by the HRR Committee in its recent meeting held on July 21, 2025. Additionally, the directors will discuss the HRR Policy and Manual (Service Book 2025) and address compliance issues identified by external auditors in the annual accounts from 2016 to 2023.

A significant item on the agenda is the consideration of the annual general meeting (AGM) for 2025, including the date, time, and venue, as well as its agenda. Moreover, the board will discuss authorizing Mr. Niaz Ahmed Khan, the company's Director and CEO/MD, to execute a Power of Attorney to manage the company's day-to-day affairs. In the absence of the chairman, Mr. Muhammad Naeem Khan will be authorized to execute the Power of Attorney on behalf of the chairman.

An important topic for discussion will be the company's strategic plan to commence business activities as outlined in the Memorandum of Association (MOA) and Certificate of Incorporation (COI), specifically the purchase of selective shares or stocks through the Pakistan Stock Exchange (PSX) and the Central Depository Company (CDC). According to information available from the Pakistan Stock Exchange (PSX), this move is likely to impact SPCL's market activities.

Additionally, the board will ratify a resolution previously passed for opening a bank account under the company's new name, "Saudi Pak Consultancy Company Limited," with MCB, Sidco Center, Karachi, or any other commercial bank licensed by the State Bank of Pakistan.

The meeting will conclude with miscellaneous items that may be discussed with the permission of the chair.
