Islamabad: Telecard Limited has officially sought a 30-day extension for holding its Annual General Meeting (AGM) for the fiscal year ending June 30, 2026. The company has submitted an application to the Securities and Exchange Commission of Pakistan (SECP) under Section 132 of the Companies Act, 2017, requesting the meeting be postponed until November 27, 2026. This request comes as the telecom company faces unavoidable administrative and procedural delays, including unfinished audit-related formalities.
According to the report dated October 2, 2026, Telecard Limited has enclosed several documents with its application to the SECP. These include a duly attested affidavit, a certificate from the company's auditor, a copy of audited accounts for the year ending June 30, 2025, and a paid challan amounting to PKR 15,025. The financial statements for the year ending June 30, 2026, were initially required to be presented during the AGM scheduled for October 28, 2026.
The company, headquartered at 75-East, Blue Area, Fazal-e-Haq Road, Islamabad, cites unavoidable delays in the completion of critical audit and corporate formalities as the primary reason for its inability to convene the AGM within the stipulated timeframe. "The extension will allow sufficient time to provide a 21-day notice to shareholders after the completion of the audit," the company stated in its request.
Telecard Limited emphasizes that once permission from the SECP is granted, the information will be promptly disseminated through the Pakistan Unified Corporate Action Reporting System (PUCARS). According to information available from the Pakistan Stock Exchange (PSX), the company's registration number is 0028747.
The last AGM was conducted on October 28, 2025, for the approval of financial statements and ancillary reports for the year ended June 30, 2025. The upcoming AGM aims to address financial statements for the year ending June 30, 2026, which are crucial for the accurate and fair presentation of the company's financial position.
This request for an extension highlights the challenges faced by companies in meeting regulatory requirements amid complex administrative processes. Telecard Limited remains optimistic that the SECP will acknowledge the circumstances and grant the requested extension to ensure compliance and transparency in its financial reporting.
