Amtex Limited Schedules Annual General Meeting to Address Routine and Special Business

Faisalabad: Amtex Limited has announced the scheduling of its Annual General Meeting (AGM) for October 28, 2026, at 11:00 A.M. The meeting will convene at the company's registered office located at P-225 Tikka Gali # 2 Montgomery Bazar, Faisalabad. This meeting seeks to address both ordinary and special business matters, as outlined in the company's formal notice.

The agenda for ordinary business includes the confirmation of the minutes from the Extraordinary General Meeting held on December 31, 2025. Additionally, the AGM will focus on the reception and adoption of the company's audited accounts for the fiscal year ending June 30, 2026, along with accompanying directors' and auditors' reports.

The re-appointment of M/s. Zahid Jamil & Company as external auditors for the 2026-27 fiscal year will also be put to a vote, with the AGM set to determine their remuneration based on recommendations from the Audit Committee and the Board of Directors. Any other business deemed necessary will be discussed with the chair's permission.

Significantly, the meeting will also address special business involving the ratification and approval of transactions with related parties. A special resolution is proposed to confirm transactions with related parties for the year ending June 30, 2026, as revealed in the financial statements. The resolution also seeks authorization for the company to continue such transactions in the normal course of business for the following year, ending June 30, 2027.

According to information available from the Pakistan Stock Exchange (PSX), the company's financial dealings include related party transactions in which some directors have declared interests. The company seeks to secure an advance authorization from its members, allowing the Board Audit Committee and the Board of Directors to review and approve these transactions, notwithstanding the directors' interests.

The resolutions passed at the AGM will require the related party transactions for the period ending June 30, 2026, to be presented again at the next AGM for further ratification and confirmation.
