Karachi: Ismail Industries Limited has announced the scheduling of its 38th Annual General Meeting, set to take place on October 28, 2026, at Hotel Galaxy in Karachi, with provisions for both in-person and virtual attendance. This meeting will address several ordinary and special business matters crucial to the company's ongoing operations and strategic direction.
During the meeting, shareholders will be asked to confirm the minutes from the prior year's meeting and review the company's audited financial statements for the fiscal year ending June 30, 2026. Additionally, a proposal will be put forth to approve a final cash dividend of 50%, equating to Rs. 5 per share, as recommended by the Board of Directors.
A key agenda item includes the reappointment of M/s. Grant Thornton Anjum Rahman-Chartered Accountants as the company's auditors for the upcoming fiscal year, alongside establishing their remuneration. Furthermore, the meeting will seek shareholder approval for transactions with related parties conducted in the past fiscal year.
In the realm of special business, significant financial resolutions are set for discussion. These include the renewal and enhancement of an intercompany loan to M/s Ismail Resin (Private) Limited which is to be increased from Rs. 8.00 billion to Rs. 10.00 billion. Similar financial arrangements are proposed for M/s Hudson Pharma (Private) Limited, with an enhancement in financial assistance and guarantees reaching Rs. 2.00 billion.
Furthermore, Ismail Industries plans to increase its equity investment in M/s. Bisconni Middle East Manufacturing LLC, based in Abu Dhabi, from the PKR equivalent of USD 15 million to USD 25 million. The company also aims to bolster its financial support through a Corporate Cross Guarantee from AED 80 million to AED 100 million.
An additional proposal includes extending financial assistance up to PKR 2.00 billion to M/s. Allume Solar Company (Private) Limited in the form of a revolving line of credit.
